Terms of service
By creating an account, accessing the Services, or clicking to accept these terms where offered, you agree to this agreement on behalf of yourself or the organization you represent.
1. Agreement & definitions
Jonarix (“we”, “us”) provides the Services described on our websites and documentation. You are the individual or legal entity using the Services. If you use the Services on behalf of a company, you represent that you have authority to bind that company.
These Terms of Service (“Terms”) together with our Privacy Policy, Cookie Policy, and any order form or enterprise agreement you sign, form the agreement between you and Jonarix.
2. Accounts & access
You must provide accurate registration information and keep credentials confidential. You are responsible for activity under your account until you notify us of unauthorized use at support@jonarix.com.
You must be at least the age of digital consent in your jurisdiction (16+ where we explicitly allow signup) to use the Services.
We may suspend or restrict access for operational, security, or abuse reasons, including to comply with law. We will use reasonable efforts to notify you where appropriate unless notice is prohibited or would compromise safety.
3. Acceptable use
You agree not to misuse the Services. Without limitation, you must not:
- Violate applicable law or third-party rights.
- Probe, scan, or test the vulnerability of our systems without written authorization.
- Circumvent rate limits, billing controls, or access controls.
- Use the Services to generate, store, or distribute malware, unlawful surveillance instructions, or content intended to facilitate serious harm.
- Harass, threaten, or spam other users or our staff (see also Community guidelines).
- Resell or sublicense the Services except as expressly permitted in writing.
We may investigate violations and cooperate with law enforcement where required.
4. Your content & prompts
You retain ownership of prompts, configurations, and other materials you upload (“Customer Content”). You grant Jonarix a limited license to host, process, transmit, and display Customer Content solely to provide, secure, and improve the Services, as further described in our Privacy Policy and any DPA you execute.
You represent that you have all rights necessary to upload Customer Content and that it does not infringe third-party rights. We may remove content that violates these Terms or law, or that we reasonably believe poses a security risk.
5. Plans, fees & taxes
Paid plans are billed according to the prices and billing cycle shown at checkout or in your order form. Unless stated otherwise, fees are non-refundable except where required by law.
You authorize us and our payment processors to charge your payment method. You are responsible for applicable taxes, duties, and government charges.
We may change pricing with reasonable advance notice. Continued use after the effective date may constitute acceptance; if you do not agree, you may cancel before the change takes effect where your plan allows.
6. Warranties disclaimer & limitation of liability
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, JONARIX DISCLAIMS ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Limitation of liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, JONARIX AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOSS OF PROFITS, GOODWILL, DATA, OR BUSINESS INTERRUPTION. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES IN ANY TWELVE-MONTH PERIOD IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THAT PERIOD OR (B) ONE HUNDRED US DOLLARS (US$100), EXCEPT WHERE LIABILITY CANNOT BE LIMITED BY LAW.
Some jurisdictions do not allow certain limitations; in those cases our liability is limited to the fullest extent permitted.
7. Indemnity
You will defend and indemnify Jonarix and its affiliates, officers, and employees against third-party claims arising from your Customer Content, your use of the Services in breach of these Terms, or your violation of law.
8. Third-party services & models
When you connect third-party model providers or tools (“BYOK” or integrations), your relationship is with those providers. Jonarix is not responsible for their availability, pricing, or data practices.
9. Termination
You may stop using the Services at any time and may request account deletion via Contact & support or in-product controls where available.
We may suspend or terminate access for material breach, non-payment, risk to security or others, or if we discontinue a Service with reasonable notice except in emergencies.
Sections that by their nature should survive (including intellectual property, disclaimers, limitations, indemnity, and dispute terms) will survive termination.
10. Export, government & law
You must comply with export control and sanctions laws. You may not use the Services in embargoed jurisdictions or by prohibited parties.
Unless a separate written agreement specifies otherwise, these Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-law rules. Courts in Delaware have exclusive jurisdiction, subject to mandatory consumer protections in your country of residence.
If you are a consumer in the EEA or UK, you may also benefit from mandatory rights under local law; nothing in these Terms limits those rights.
11. Changes
We may update these Terms by posting a new version and updating the effective date. For material changes, we will provide additional notice (for example by email or in-product banner) where practicable. Continued use after the effective date constitutes acceptance unless you cancel beforehand.
